The board is able to modify bylaws or even adopt them, and also authorize certain transactions and approve decisions taken by the board. These important decisions are documented in the minutes of board meetings.
The chair of a meeting is usually give a brief summary of the important events that took place since the previous board meeting. This usually includes a review of the performance indicators like sales, marketing traffic and market share. The board should also consider any targets that have been missed and work together to find solutions that help the company improve its performance.
After removing any outstanding items, the board may then begin to discuss proposed agenda items. Discussions regarding these items should be lively and engaging which allows everyone on the board to take part in the discussion and offer their views. The chair should encourage everyone to speak out, while still maintaining the discussion under his control. After the discussion is concluded the chair will usually put every motion to a vote. After the results are announced, the board can move on to the next item on the agenda.
